Terms of Service

1. Who we are
Germini ("we," "us") is a web design agency providing website design, build, hosting, and related services to business customers in the United States. All prices are in US dollars.
2. The build service
When you complete our intake and we accept your order, we build a website draft based on the template, content, and preferences you provided. We aim to deliver a first draft within 72 hours of completed intake; this is a service target, not a guarantee.
- Each build includes up to three (3) revision rounds. Additional rounds may be quoted separately or handled by our team at our discretion.
- You may cancel at no cost any time before approving your draft. No payment is collected until you approve.
- The build fee becomes due at draft approval and is non-refundable once paid, as it compensates work already performed.
3. Hosting plan
- Publishing your site requires an active Hosting Plan ($19–$99/month depending on tier), which covers hosting, SSL, backups, uptime monitoring, and reasonable edit requests.
- The Hosting Plan renews automatically each month until canceled. You can cancel anytime from the client portal or by written notice; cancellation takes effect at the end of the current billing period, after which the site is taken offline.
- If a hosting payment fails and is not resolved within 14 days, we may suspend the site until payment resumes.
4. Your content and responsibilities
- You confirm you own or are licensed to use all content you provide (text, images, logos, menus, prices) and that it is accurate and lawful.
- We publish business facts (hours, addresses, prices, claims) only as you provide them and are not responsible for losses arising from inaccurate intake content.
- We may decline content that is unlawful, deceptive, or infringing.
5. Ownership
- Upon full payment of the build fee, you own the final website content and design produced for you.
- Our underlying templates, tooling, and build systems remain our property; you receive a non-exclusive license to your site's use of them.
- If hosting ends, we will provide a static export of your site on request within 30 days of cancellation.
6. Domains
Domains registered by us on your behalf are billed at cost plus a management fee and renew with your Hosting Plan. Domains you own remain yours; you are responsible for registrar fees and access.
7. Disclaimers and liability
Services are provided "as is." To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the amounts you paid us in the twelve (12) months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business.
8. Disputes

9. Changes
